Corporate Finance Attorney The candidate will be an active member of the American Tower (firm's) corporate Legal department and will assist: (A) primarily with corporate reporting and (B) secondarily with corporate finance transactions, The Corporate Finance Attorney will prepare or assist in the preparation of filings with the Securities and Exchange Commission ( SEC ) and New York Stock Exchange ( NYSE ). Will work on a wide range of corporate transactional matters including public and private securities offerings, debt financings and other transactions. The Corporate Finance Attorney also assists the Corporate Finance team with corporate and securities law matters and changes in corporate and securities law practice. Draft and review SEC and NYSE filings, including 10Ks, 10Qs, 8Ks, Section 16 reporting, stock-based compensation plans, annual reports to shareholders and proxy statements and investor relations Q and As and presentations. Provide legal support for corporate finance transactions, including public and private securities offerings, debt financings, derivatives transactions and regional financing matters. Advise on compliance with federal securities laws and reporting and disclosure requirements, including SEC and NYSE rules and requirements. Conduct research on and attend training on corporate and securities law matters and changes in corporate and securities law practice. Assist with preparation of board of directors and committee materials. Work efficiently and effectively with in-house corporate legal team, and serve as a resource to the Treasury, Finance, Investor Relations, Human Resources and other teams. Direct and correspond with outside counsel and other third parties regarding corporate finance transactions. Assist with short-term projects. Review matters completed and determine ways to improve process and procedures in the legal department. Make recommendations regarding legal support for corporate finance transactions, including public and private securities offerings, debt financings and mergers and acquisitions. Make recommendations regarding compliance with federal securities laws and reporting/disclosure requirements, including SEC and NYSE rules and requirements. Other duties as assigned.

The candidate must have 3-5 years experience with federal securities laws and compliance issues, working on financing transactions, and corporate law. Must be a licensed attorney. Must have experience drafting and reviewing periodic reports filed with the SEC. Must have experience assisting with capital markets financings. Must have experience preparing materials for board of director and committee meetings. Knowledge of Microsoft Word, Excel, Outlook and PowerPoint is required. Must have familiarity with Workiva or similar filing software. Must have demonstrated interest in federal securities laws and compliance, working on financing transactions, corporate law and understanding of NYSE rules and regulations.
