Corporate Counsel The candidate will be responsible for the timely provision of practical legal advice to all departments of the firm with respect to core business matters. Fostering and nurturing the building of relationships with internal business partners, investors, lenders, external resources, counter-parties, and customers counsel. Utilization of industry-specific transnational expertise to support commercial and industrial sales, commodity supply functions, and all other manners of vendor and counter party contract drafting, review and negotiation. Research of legal issues on any subject to support all internal business partners. Drafting, reviewing and negotiating all types of business agreements. Advises on and handles legal and regulatory risk management issues. The candidate should have 4 or more years of experience as an attorney. Must have experience in general business law, contract negotiations, financing, and mergers and acquisitions. Additional business experience strongly preferred. Experience in energy related matters is preferred. Ranked at the top 25% of her or his law school class is preferred. Broad business and legal background; well-versed/experienced in multiple legal disciplines, including corporate/business law, UCC contract law; dispute resolution, contract negotiation, construction, energy, and litigation. Experience in drafting and negotiating a broad breath of contracts and transactional work. Ability to communicate clearly, orally and in writing, regarding complex issues, and must be a proponent of the plain English movement in legal writing. Resourceful, with the ability to manage relationships, and information in order to achieve the desired, time-sensitive business results. Creative but pragmatic approach to structuring and closing transactions.
