Junior Corporate Counsel

Junior Corporate Counsel Duties: Review and negotiate documents related to investments of institutional clients capital in private equity funds and directly into operating companies, including negotiating comments with opposing counsel and preparing ancillary documents. Interface with Team members, other business departments, clients, general partners, general partners counsel, and other parties in connection with investments. Manage all other aspects of investment closings. Special projects as assigned.

Qualifications: Law school graduate and 3 5 years' work experience in a legal environment, preferably with the corporate/transactions department of a law firm. Member of the Pennsylvania Bar. Experience with limited partnerships and private equity funds preferred. Possess excellent verbal and written communication skills. Ability to interface effectively with clients, peers and opposing parties. Must be extremely detail-oriented and organized, but importantly also be able to be a practical business lawyer, and grasp the larger context of transactions, the Teams objectives and the Firms mission. Essential for the candidate to be a team player. Proficiency with MS Office applications.
