Tax Counsel (Alternative Investments) - Corporate The candidate will work closely with the Managing Director overseeing tax for the company's alternative investment businesses. Will assisting with day-to-day advisory coverage of the alternative investments business. This includes: working closely with manager to advise various hedge fund and private equity front office contacts on the taxation of financial products and various transactions; coordinating with external advisors in respect to non-US tax matters; performing research and special projects and communicating findings to manager through written memos; and staying up to date on tax law and industry developments. Work on new fund formations by; advising on tax aspects of fund structures; evaluating various tax elections (including tracking election deadlines and where applicable preparing elections); commenting on tax aspects of legal documents (including partnership agreements, offering documents, trading agreements, etc.); and when necessary, assisting with the preparation of initial tax forms, withholding statements and self-certifications (FATCA, CRS). Advise on capital markets transactions within the company's alternative investments and merchant banking platforms. This includes: assisting with tax due diligence; assessing the US tax treatment of a transaction; coordinating with external advisors in respect to the non-US tax treatment of a transaction; and commenting on tax aspects of transaction documents. Assist team members with the management of external tax preparers and fund administrators in order to timely deliver K-1s to investors, and timely file income tax returns. This includes: researching and/or consulting with outside tax counsel on substantive tax issues that arise; evaluating and drafting memos in respect to tax positions for FIN 48 purposes; working with internal and external accounting teams; as well as when necessary, reviewing partnership federal and multi-state income tax returns and workpapers prepared by external tax preparers. Should have a J.D. degree with 2-3 years of experience in the tax department of a law firm. An LL.M. in Tax is a plus. Proficiency with online tax research tools (e.g., RIA Checkpoint or BNA) is required.
