Senior Corporate Counsel The candidate will be responsible for supporting corporate and securities initiatives, international expansion efforts, and mergers and acquisitions work. Require a general corporate background, good judgment, a strong work ethic, and an interest in building relationships with cross-functional partners. Serve as a primary point of contact to teams throughout Confluent on general corporate and securities matters. Manage and participate in all stages of the M&A lifecycle with limited supervision, including drafting term sheets, reviewing diligence, negotiating documentation, advising on regulatory considerations, and assisting with post-deal integration efforts.Draft and manage the companys SEC filings, including proxy statements, 10-Ks, 10-Qs, 8-Ks, etc. Collaborate with stakeholders within the organization, including the Finance, Accounting, Tax and Marketing functions. Assist international expansion efforts by managing subsidiary formation, overseeing operationalization, and performing ongoing corporate maintenance. Manage outside counsel.

The candidate should have 7+ years of experience working as an attorney, including at a top-tier law firm. JD from a top-tier law school,. Strong background in securities laws, including 33 and 34 Act. Experience managing M&A transactions (buy-side preferred).Active member of a state bar, preferably California. Strong analytical skills and high ethical standards.Willingness to work on projects that are new and/or unfamiliar. Demonstrated ability to work independently and successfully manage multiple internal clients with competing priorities. Excellent written and oral communication skills. An approachable, friendly, and professional demeanor. In-house experience at a high-growth start-up. IPO experience.
