Corporate Counsel The candidate will provide ongoing legal counsel and guidance to the company Advance Partners business unit in the management of the Company's collateral monitoring, process controls, litigation matters and legal support. Identifies and informs senior staff members of legal concerns. Familiarization with Companys internal processes including Companys current collateral management inclusive of lien filings, lien searches, IRS interface, corporate good standing searches, Workers Compensation Insurance compliance and searches of owners of company Advance Partners Clients. Maintain oversight and analysis of all matters related to internal processes in respect to payroll processing, invoice preparation and/or acquisition, transmittal to account debtors, transmittal of notification letters and review of all evidential matter supportive of client payrolls. Development of executive-level reporting package which aligns with Company risk management protocol. Develop a review process for gathering relevant information supportive of understanding collateral quality on an ongoing basis with the goal of creating a weekly management level report. Draft Company documents including contracts, addenda and security agreements while providing collection support including drafting demand letters, preparation of lawsuits, and monitoring collection activities. File lawsuits and handle litigation for the Company for all matters which are appropriately kept in-house rather than submitted to outside counsel. Research of matters related to collateral management, Revised Article 9 of the Uniform Commercial Code, Professional Employer Organizations (PEO s)/Employee Leasing Companies, IRS matters and other compliance related matters. Utilization of tools including Lexis-Nexis, State websites and UCC Direct. Develop a complete understanding of the legal issues related to Vendor Manager Services/Managed Service Providers and the impact on Company risk management. Attend all Credit related meetings and participate in credit related initiatives. Effective training, leading and evaluating of direct report(s).

The candidate should have JD Law Degree. Must be licensed to practice law in the State of Ohio. Broad, overview experience in Creditors Rights Law, Secured Transactions, Corporate Law and Employment Law; experience in commercial litigation preferred.
