Senior Counsel, Corporate & Securities

Senior Counsel, Corporate & Securities Duties: Assist in the preparation of SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements and registration statements and other SEC and exchange compliance matters. Lead the planning and project team for the annual meeting of stockholders. Prepare and maintain registration statements. Draft and manage Section 16 filings. Draft and assist with the preparation of board and committee meeting materials. Lead global subsidiary management with cross-functional teams, draft corporate organizational documents and maintain corporate records. Assist with general corporate and public company compliance matters and special projects as necessary. Support special corporate and securities projects, including offerings and investments. Assist with commercial legal matters. Partner with global cross-functional teams including Communications, Investor Relations, Accounting, Treasury and Tax on various projects.

Qualifications: 7-10 years of relevant experience at a major law firm, with significant securities experience required and a strong emphasis on SEC compliance and corporate governance. Team player with the ability to proactively collaborate with cross-functional teams. Ability to work independently to drive projects to completion. Flexible, self-starting and hard-working. Comfortable working independently in a fast-paced and changing environment, with strong organizational skills and ability to manage multiple projects simultaneously. Desire to grow and be in a role that develops over time. Excellent written and oral presentation skills.
