Attorney - Corporate Governance, Board Support, and Shareholder Engagement The candidate will provide legal support on a variety of corporate governance, board support and shareholder engagement matters. Will assist the team in supporting the Boards of Directors of company and its two nationally chartered banks, including the planning, organizing, and preparation for board meetings, and the preparation of meeting materials, as needed. Research and drafting updates to corporate governance policies and other corporate governance documents. Assist with research related to general governance and regulatory advice related to board and committee meetings and management. Identify/benchmark emerging and leading corporate governance practices relevant to the financial services industry and facilitating implementation, where appropriate. Prepare and coordinate responses to regulatory and other stakeholder requests. Research disclosure trends and drafting and reviewing the annual proxy statement. Respond to stockholder proposals for inclusion in the proxy statement, including negotiations with proponents or requests for SEC no-action letters. Prepare meetings with significant shareholders. Prepare annual or special stockholder meetings, including meeting script and Q&A.

The candidate should have outstanding academic credentials and be licensed to practice law in at least one state or the District of Columbia. Must have 2-3 years of experience as an attorney working on securities and public company corporate governance-related matters. Should preferably have experience practicing in these areas with a law firm. Understanding of the rules, regulations and best/leading practices of US public company corporate governance. Familiarity with the general corporation laws of Delaware is required. Experience advising financial institutions or other complex international corporations on corporate governance matters a plus. Travel may be involved from time to time for Board meeting support.
