Associate General Counsel, Corporate M&a

Associate General Counsel, Corporate M&A The candidate will counsel various businesses with respect to a wide variety of transactional and corporate legal matters, including: strategic and private equity buy/sell side M&A; minority equity investments; M&A-related US Federal securities law compliance; and corporate governance oversight of, and legal reorganizations within, the consolidated group. Will negotiate and draft various M&A and corporate-related documents, including purchase and sale agreements, LOIs, bid letters, corporate resolutions, and board meeting minutes. Drive the internal M&A process, including due diligence, and managing outside counsel. Counsel business clients with respect to all legal aspects of the above transactions. Oversee post-transaction related matters, including integration matters. Responsible for ongoing counseling and implementation of various corporate policies, initiatives and/or programs. Handle other projects and duties as assigned.

The candidate should have a J. D. degree from an accredited law school and admission in good standing to the Bar. Must have 3-5 years of corporate law experience (with 3+ years of complex, corporate transactional experience with a recognized corporate law firm). Significant experience and knowledge with M&A and Delaware corporate law is required.
