Senior Corporate Counsel

Senior Corporate Counsel The candidate will be providing broad-based legal support on all aspects of firm legal work, including negotiating, drafting and revising commercial contracts, real estate, bankruptcy, Board minutes and other general commercial legal work. Will be drafting contracts using firm s template agreements, legal review and revision of draft agreements including third-party template agreements, and review and analysis of existing agreements. Managing detail-oriented and time sensitive projects related to commercial contracts where accuracy, meeting deadlines and quality are critical. Gathering information from multiple sources and coordinating responses with other members of the legal department and business functions in connection with drafting and revising a variety of commercial contracts. Drafting and revising real estate leases, purchase and sale agreements and related contracts. Working with the business units in researching and providing guidance and advice on a number of corporate issues, including contract interpretation, bankruptcy, and other matters. Performing detailed analysis of commercial contracts, regulations, cases and providing results either orally or by written memorandum to key stakeholders. Obtaining and communicating information regarding existing business arrangements from global business managers. Maintaining corporate minute books, drafting meeting notices, Board of Directors and shareholder consents and preparing other corporate organizational documents. Managing multiple requests for assistance with time sensitive deadlines. Changing business needs and priorities will require someone who can adjust on the fly with good composure and solid planning / prioritization skills. Matrixed corporate structure must be learned and navigated to be successful. The candidate should have a JD degree. Must have 5-10 years of progressive experience including 3+ years in an equivalent role in a similar operating environment. In-house legal department or law firm experience with heavy focus on commercial contracts drafting is a plus. Aerospace industry experience also a strong plus. Should have excellent computer skills using MS Excel, PowerPoint and other MS Office products.
