Corporate Attorney

Corporate Attorney The candidate will be responsible for addressing general corporate law matters and managing corporate contracts from initiation to execution for firm's and its subsidiaries on a global basis. Will be responsible for drafting, negotiating and finalizing contracts in collaboration with management and the business, regulatory and finance groups. Responsibilities also include maintaining proper corporate governance practices, creating contract templates and monitoring contract compliance and retention. Draft, revise and negotiate corporate contracts, which include sales, supply, regulatory, and confidentiality agreements. Work closely with business teams and management to assess business needs and evaluate risk. Monitor contract status and compliance. Create new contract templates and monitor existing templates for consistency. Oversee corporate governance practices. Schedule annual Shareholder and Board Meetings; participate in meetings and draft resolutions, consents and minutes. Monitor and assist outside legal counsel on a worldwide basis. Provide guidance and counsel on general corporate law matters. Assist in the performance of due diligence for acquisitions, strategic alliances and partnerships. Complete special projects and other duties, as assigned. Personable and positive attitude. Ability to exercise business sense and understand commercial practicalities. Ability to communicate clearly and directly in terms that are understandable to non-lawyers. Capable of dealing with internal and external clients in a tactful and professional manner. Ability to timely assess and analyze situations and propose thorough and concise solutions. Able to work independently, perform as a self-starter and meet critical deadlines. Should have Bachelor's degree. Must have JD degree from an ABA Accredited law school. Current admission to the Bar of at least one state is required. Must have 10 years of experience as a corporate business attorney.
