Gen Counsel/Chief Compliance Officer The candidate will be responsible for serving as chief advisor and strategic business partner to President & CEO and the senior management team on all legal, corporate governance and compliance matters, including managing and supporting the Companys practices and policies in ethics, corporate compliance and regulatory compliance. Lead and build out the Companys legal function in support of corporate strategic plans business objectives. by providing hands-on, solution-oriented advice regarding all legal matters. Assuming ultimate responsibility for ensuring the company conducts its business in compliance with all applicable laws and regulations, while staying abreast of laws, legislative developments and developing external trends. Advising and counseling complex legal and business transactions, including customer, third party business partnerships, business development and M&A activities. Advising and counseling multiple strategic corporate governance, financing and business development initiatives and advising on securities, tax, governance and regulatory matters, in close collaboration with, the CEO, CFO, outside legal counsel, and the executive leadership team. Advising Human Resources on, benefits and employment law matters to ensure statutory and regulatory compliance. Collaborating with business partners throughout the organization to provide practical solutions to legal issues and risk management discussions. Managing all Company litigation, legal claims and disputes. Managing Legal function quality and budget while selecting, evaluating, and managing outside legal counsel and expert advisors as needed. The candidate must have experience with complex commercial and business development transactions (including contract drafting and negotiations). Should have exceptional interpersonal skills and the ability to communicate effectively as a trusted advisor to senior business leaders and other professionals and colleagues at all level of the organization while utilizing excellent business and legal judgement in complex situations. Excellent written and verbal communication skills are needed. J.D. from an accredited national law school and admitted member in good standing of any Bar in the United States is required. 15+ year of legal experience within Lifesciences or Clean Technology, gained ideally through a combination of law firm training and in-house experience in roles of increasing scope and responsibility is must. Advocacy, Aptitude and Experience is preferred.
