Corporate Counsel The candidate will provide the necessary foundation to fuel high performance culture and allow us to be the best at serving the needs of client families and communities nationwide. This is primarily a generalist role focused on providing operational support to the firms businesses located throughout the United States, which includes providing guidance on regulatory, contractual, employment and other legal matters. Contribute to the legal support for the companys commercial and transactional activities, including all mergers and acquisitions, divestitures, development and financing projects. Negotiate, prepare, review and interpret routine and non-routine legal documents, including complex transaction agreements. Work closely with others in the Legal Department, as well as members of cross-functional teams including accounting, tax, trust, IT, HR and the Executive Leadership Team. Conduct legal research and interpret laws, regulations and provide advice and guidance.

The candidate should have a Juris Doctor degree with excellent academic credentials and a member of a State Bar in good standing. M and A and other corporate transactional experience, either in-house or with a law firm is preferred. Must have developed sense of business judgment, strategic thinking, risk management skills and an ability to balance business needs, legal obligations and reputational risks in an objective, practical way. Superior drafting and negotiation skills a plus. Should have excellent analytical and problem-solving skills.
