Senior Legal Counsel Compliance The candidate will be responsible to manage the Division's compliance program to ensure compliance with applicable laws and regulations and good business practices through the updating, development and improvement of relevant policies and procedures across the Division. In particular, the role is responsible for ensuring the Division's compliance with healthcare regulations, international trade regulations, anti-trust/competition laws and regulations, data privacy, government contracting and marketing compliance. Communicate policies and procedures for the Division's standard of legal and ethical conduct. Provide reports on a regular basis to keep the Divisional Board and senior management informed of the progress and status of the compliance program and advise them in new developments in ethics and regulatory compliance. Coordinate with the HR Department to develop an effective compliance training program, including appropriate introductory training for new employees and ongoing training for existing staff. Work with Smiths Group ethics to institute a standard reporting mechanism within the Company for reporting of compliance issues for investigation and resolution, including confidentiality measures for reporting employees and reporting of violations to outside authorities as appropriate or as required. Monitor developments in the laws that impact Medical, as well as possible areas of compliance risk; revising compliance programs to address legal and regulatory developments and implementing corrective action plans for resolution of current and potential problems. Support sales and marketing operations through drafting of effective and enforceable contracts compliance with Group Legal directives and assist as requested with government contracting, marketing compliance and healthcare regulation. This position is required to assure compliance of Company operations to all applicable laws, regulations and standards, good business practices and company documented procedures (including knowledge of all standards, government occupational health and environmental regulations and statutes related to the site). Engage others, promote, and participate in Environmental, Health, and Safety initiatives, focusing on continuous improvement.

The candidate must have 8 - 12 years of related experience. Strong knowledge of federal and state regulations and ethics and compliance related issues, as they relate to healthcare (including HIPAA, fraud and abuse regulations, FDA regulations, the AdvaMed and Eucomed codes of business practice) and business conduct (FCPA and equivalent national legislation) is necessary. 5-10 years' experience in a law firm or corporate law department is critical. Broad understanding of international trade compliance issues is must.
