Deputy General Counsel, Government Contracts - Intellectual Property Duties: Supporting intellectual property (IP) program, including providing legal and strategic guidance on patents, copyrights, trademarks, and trade secrets; supporting patent program; drafting, negotiating, and reviewing IP licenses and non-disclosure agreements (with both government and commercial customers); managing data rights under government contracts, including providing advice regarding FAR and DFARS provisions and clauses relating to data rights and IP; managing intellectual property rights under subcontracts, joint venture agreements, supplier contracts, commercial contracts and agreements, and other contractual and business relationships; managing outside IP counsel; and other intellectual property matters. Supporting contract and procurement activities in the negotiation and administration of the Companys business, including interpreting, drafting and negotiating contract clauses; handling government claims and business disputes; drafting and negotiating subcontracts and teaming agreements; handling IP and data rights matters (as described previously); and managing bid protests. Conduct internal investigations; serve as POC for government inquiries and investigations; develop policies and procedures to comply with emerging federal procurement laws and regulations; and other legal and regulatory compliance matters. Supporting legal matters as assigned by the General Counsel, including acquisitions and divestitures; performing legal due diligence, drafting transaction documents, negotiating terms, supporting management in allocating corporate transaction risks; managing IP litigation.

Qualifications: JD Degree and a member in good standing of the bar in at least one U.S. jurisdiction. 5-7+ years of experience in intellectual property, government contracts, and corporate compliance. Experience at a top tier law firm and excellent law school credentials are highly desirable. Some in-house experience would be ideal. Experience with IP matters, including IP transactions, counseling, and litigation, spanning all forms of IP. Experience in government contracts matters, including intellectual property and data rights matters. Strong writing skills. Reputation for and unqualified commitment to integrity and professionalism. Superior interpersonal skills and the ability to relate to employees and management at all levels. Attention to detail and organization. Strong time management skills. Ability to think critically and develop creative and practical solutions. Highly adaptable to change; ability to work independently and collaboratively. Ability to multi-task and operate in a fast-moving environment.
