Counsel, Corporate Governance, Securities, Treasury and M&A Duties: Will be the subject matter expert in matters related to public company corporate governance, securities, treasury, and mergers and acquisitions matters. Will possess the utmost attention to detail and the ability to establish effective working relationships with the Board of Directors, the Chief Executive Officer, the Chief Financial Officer, other Executive Management, and senior leaders in legal, tax, accounting, human resources, and various business units across the company. Will include primary legal responsibility for the corporate treasury department, including negotiating public debt and commercial paper offerings, reviewing and negotiating agreements relating to the Company's stock repurchase program, reviewing and negotiating derivative contracts, advising on compliance issues pertaining to derivatives, and managing the day-to-day review of banking and other contracts. Will also be responsible for supporting legal review of SEC filings (including drafting and managing annual proxy statement and annual stockholders meeting process) and ensuring SEC and NYSE compliance. Will also help manage the Companys insider trading program, drafting and reviewing legal memoranda and other governance-related documents for parent company board and committee meetings. As well as be the primary legal responsibility for regulated subsidiary board meetings and entity management for the Americas, including leading board meetings and drafting meeting materials and corporate minutes. And supervise paralegals providing day-to-day administrative support for subsidiary board meetings and entity management. Will also provide day-to-day legal support for the M&A activities and participate in negotiation and drafting of transaction documentation as necessary. Qualifications: A law degree from ABA-accredited law school and admitted to practice law in 1+ state in the US, with 6+ years legal practice experience at a law firm or in a corporate legal department with relevant substantive experience including SEC/Securities & M&A. As well as have substantial experience in negotiating in diverse cultures and demonstrated client/management service and decision-making skills. Experience working with international companies and someone who sets high personal standards for goals and objective is also helpful, as well as demonstrated ability to respond quickly and constructively to changes, challenges or unexpected shifts in priorities with a bias towards action and solution development. Will also have a proven track record of providing legal counsel in a dynamic and fast-paced legal and regulatory environment, with the ability to demonstrate legal expertise in corporate governance and securities, mergers and acquisitions and treasury, including global derivatives regulation, As well as superior writing and highly professional communication skills. It will also be important to have strong, proactive and effective business counseling, issue spotting, problem solving, negotiation and analytical skills and superior communications skills, as well as strong attention to detail. It is also helpful to have the ability to accurately identify and assess risks for complex and broad spectrum of matters and have experience handling complex projects, including in a lead role. Will deal directly with and gain the confidence and trust of mid- and senior level business partners. Will also have the ability to work independently, while recognizing own limitations and seeking the advice of subject-matter experts and managing workload to keep projects moving quickly with challenging, variable deadlines And also be professional and function effectively in team setting. And, someone who is interested in developing oneself and their career into future and/or broader legal and business leadership roles.
