Legal Operations and Litigation Counsel The candidate primary responsibilities are split (estimated 60/40) between (i) building and leading the legal operations activities and (ii) setting the strategy for and overseeing significant litigation matters and identifying claim and litigation trends in order to mitigate risk. The position will report to the EVP, Chief Legal Officer, operate as Chief of Staff, and serve as a member of the Global Legal Leadership Team. Will be responsible for developing deeper relationships with selected outside counsel, including negotiation of discounts and alternative fee arrangements, selecting and implementing legal technology, strategic planning, financial management, and developing legal data analytics and metrics or KPI s. For major litigation matters, the Legal Operations and Litigation Counsel will be primarily responsible for overseeing major litigation matters. In addition this role will support the Chief Legal Officer with special projects, strategic initiatives and day-to-day activities of the legal department. One focus for this role will be to develop and lead the legal operations function to ensure that company is maximizing the value created by the legal team, partnerships with outside counsel, other legal vendors, and legal technologies. This position will be responsible for overseeing designated major litigation and legal operations of the of the global legal function with accountability for the following: In partnership with the Chief Legal Officer and the Legal Leadership Team, monitors spend, performance and service levels of vendors and outside counsel relationships. Develops preferred outside counsel strategy and arrangements inclusive of pricing strategy (discounts), alternative fee arrangements and related processes. Develops and manages a holistic view of the work being performed in the department to ensure effective billing, budget management, financial planning, accruals, expense analysis and forecasting. Develops and executes technology; administers and supports key legal department systems including the billing system and additional designated technologies, as well as the legal functiion s internet site content. Develops and implements technology strategy and roadmap that is aligned with company s overall digital strategy. Enables operational excellence by understanding all facets of the legal function and working with the Chief Legal Officer to understand and improve operational issues and processes and to partner with the Legal LT to identify solutions which increase efficiency and improve performance. Works closely with Chief Legal Officer and the Legal LT in the development of goals, priorities and strategic plans. Develops common metrics to measure the effectiveness of the legal function, with goals of innovation, collaboration and value creation. Collaborates with other corporate functions such as finance, technology and HR regarding legal department projects and initiatives. Provides strategic and operational support to the Chief Legal Officer to enhance goal clarity, metrics reporting, engagement and organizational efficiency ensuring alignment of activities and key messages within the legal function and across company. Supports and/or represents the Chief Legal Officer in internal and external meetings, leading the compilation and/or creation of appropriate briefing materials and presentations; as well as coordinating events and team meetings. As required by the Chief Legal Officer, leads and/or participates in special projects and strategic initiatives ensuring timely achievement of critical activities, key milestones and deliverables. As required by the Chief Legal Officer, serve as lead counsel for designated major litigation matters. Accountable for the following: Serves as the lead counsel overseeing external counsel with responsibility to set legal strategy on all phases of the litigation. Responsbile for cost effective discovery, review and approval of pleadings and settlement discscussions. Establish best practices for early case assessment for all claims and litgation across the legal function. Identifies, monitors and addresses issues of legal risk; identify litgation trends and experience with view to proactive changes to business practices or remediatiion to reduce future claims and litigaiton; may require research, analysis, and interpretation of proposed and existing laws, statutes, and regulations. Provides legal advice/counsel in U.S./corporate business-related litigation; may provide consultative advice on international matters.

The candidate should have J.D. and qualified litigation attorney, will have a strong academic background with 8 years of relevant legal experience, and at least 2 years as an in-house legal counsel; solid legal expertise within the US as well as some global experience. Experience in the pharmaceutical, life sciences or medical devices industries required. Must have demonstrated experience with outside counsel management in the litigation context. Willingess to build legal operations as a new capabaility within function; ability to work collaboratively with lawyers and non-lawyers; an understanding of change management processes and an understanding of the intersection of business and legal results; industry practices and emerging trends required. Must have ability to work collaboratively with lawyers and non-lawyers; an understanding of change management processes; experience collaborating and negotiating with key resources and stakeholders (internally and externally), influencing decisions and managing work to achieve strategic goals required. Experience overseeing government investigations preferred. Demonstrated experience with managing major initiatives and delivering results; vendor management expertise desirable. Familiarity and experience with legal technology solutions is desired.
