Legal Contracts Counsel, Procurement Lead Ref. ATL004OG Duties: Manage and coordinate activities of a team of procurement professionals. Train members of the GCO procurement team regarding legal issues presented in procurement contracts and assist fellow team members when working through complex issues by providing guidance and direction. Serve as a trusted advisor to the U.S. procurement organization by providing practice legal advice and counseling on key legal risks associated with procurement contracts, including sponsorships, events, software, services, emerging technologies, robotics process automation and AI, as well as advising on legal issues related to EY s development, use and licensing of such technology to EY clients, and developing solutions to such issues while effectively managing legal and practical business considerations. Work collaboratively as a member of team of procurement lawyers and professionals, and with internal clients to develop strategies to address identified issues. Work collaboratively with EY s Global Procurement function to establish consistent policies globally. Effectively assess, balance, and communicate to business stakeholders and GCO leadership the risks and benefits associated with the multiple and sometimes competing objectives related to EY s procurement of products, services and technology. Understand legal and client business goals and how they impact the types of products and services procured. Collaborate with other team members in working through complex issues. Coordinate with cross-functional teams (tax, independence, information security) and legal colleagues (data privacy, employment, alliance) in order to provide a comprehensive risk assessment and risk management. Make certain that accurate and sufficient contractual documentation is developed to effectively document procurement transactions and to protect the firm s interests. Understand the firm s policies, procedures and guidelines that are relevant to procurement transactions and how contract drafting, negotiation and execution are impacted by such items. Apply the effective use of existing or new tools and processes to daily work and towards developing, recommending and implementing solutions to enhance the performance of the team. Effectively manage workflow, including multiple projects, in a proactive and highly responsive manner and propose improvements to form agreements, policies and procedures. Build relationships to deliver exceptional service to internal clients and stakeholders. Directly manage and/or counsel others; coach and develop team members. Develop and deliver training on legal matters, knowledge sharing and best practices. Will be challenged in situations where the proposed transaction is extremely complex, where proposed suppliers do not agree with the firm s key contractual provisions and where members of the team are themselves challenged. In these instances, the Legal Contracts Counsel, Procurement Lead will need to assess the issues and risks and to provide guidance to business owners and/or the team members. This role will have authority to negotiate the firm s key contractual provisions, but for any significant matters or deviations, will seek the GCO Atlanta Team Lead s guidance and/or consult with others within the GCO leadership.

Requirements: Bachelor's degree from an accredited 4-year college. JD Degree from an accredited law school. Membership in a State Bar as an attorney; qualified to practice law as an in-house attorney in Georgia. Good standing with the State Bar, including being current on individual state CLE requirements. 8-10 years of relevant experience within a law firm or a corporate legal department. Excellent leadership skills. Excellent communication skills, both oral and written. Excellent negotiation, analytical, organizational and interpersonal skills. Excellent subject matter expertise in technology and non-technology procurement transactions and the applicable market, legal and regulatory environment impacting and informing such transactions. High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility, and ability to adapt to changing circumstances and dynamics. Ability to grasp, understand, and accurately articulate and document complex transactions. Ability to team effectively with colleagues in other functions and geographic locations. Expertise in negotiation techniques, contract law, contract drafting, licensing, intellectual property, procurement and project management relevant to complex technology contracts, emerging technologies (including in respect of open source software), and managed services. Comprehensive knowledge of relevant firm policies and related processes, and ability to apply such policies and processes to procurement contracts. Ability to assess size and scope of contemplated transactions and to tailor contracts accordingly. Prioritize multiple tasks with competing deadlines. Solution-oriented with a focus on exceptional client service. Foster teamwork and maintain effective working relationships with internal clients, stakeholders and team members.
