Securities Attorney The candidate will be responsible for meeting the companys corporate and securities legal needs, including SEC filings. Responsible with working with finance to: Create and maintain SEC filing calendar. Prepare 10-Ks,10-Qs, 8-Ks, proxy statements, S-8s and Section 16 fillings. Manage legal internal and external review of all documents, including our Annual Report. Ensure compliance with SEC and NASDAQ rules and regulations. Oversee policies and procedures relating to securities law compliance and disclosure matters, including the administration of our Insider Trading Policy. Partner with Investor Relations on Regulation FD compliance oversight, investor engagement activities, and our Annual Meeting. Review external communications, including press releases, investor presentations, and other announcements, and significant internal communications. Assist the Disclosure Committee to ensure that senior management performs their financial disclosure-related obligations on a timely basis. Work with finance to help drive SOX implementation efforts and provide support to our external SOX advisors. Stay up-to-date and keep relevant teams advised on SEC and NASDAQ developments, and best practices in an evolving regulatory landscape. Manage, support and complete other corporate projects as necessary. Must have JD degree and admitted to a US State Bar (preferably CA) with 5+ years of relevant experience in a law firm or inhouse working on SEC filings, including the drafting and coordination of SEC filings. Should have outstanding working knowledge of SEC and NASDAQ rules and regulations. Understanding of accounting and corporate finance required. Transactional experience is a plus.
