Corporate Counsel - Conviva Entities The candidate provides a full range of legal advice and services. The Counsel work assignments involve moderately complex to complex issues where the analysis of situations or data requires an in-depth evaluation of variable factors. Position will be a member of the Conviva Law Department and its Sourcing and Procurement team, reporting to the General Counsel. We are looking for a candidate with between five and seven years of experience in the following areas: Assisting with the drafting, review, and negotiation of a high volume of vendor contracts, ranging from routine to complex transactional matters in operations, professional services, pharmaceutical, and IT. Providing collaborative deal support for procurement transactions, advising procurement clients, and supporting cross-functional teams in negotiations. Advising the procurement team in day-to-day support of vendor matters and inquiries. Delivering effective legal counsel to internal stakeholders in a timely, positive, and constructive manner. Enforcing processes relating to procurement contracts and ensuring compliance with corporate policies. Knowledge of Healthcare laws and regulations to include, but not limited to HIPAA, Privacy, Risk, and Compliance. Experience drafting and negotiating vendor agreements and key contractual terms. Review and negotiation of Master Business Agreements, General Services Agreements, SAAS and other IT related, and assist Compliance with BAA and compliance language. Ability to translate business needs into contractual language, and effectively communicate legal analysis to business stakeholders. Creating, maintaining, and updating PO Terms and Conditions, template agreements, schedules, SOWs and exhibits to minimize transactional risks. Must be passionate about contributing to an organization focused on continuously improving consumer experiences. Should have J.D. with strong academic credentials. Required to be admitted to the bar and in good standing in Florida, or admitted to the bar and in good standing in another state and eligible for limited licensure of in-house counsel in Florida. Should have 2+ years of experience as a practicing attorney with a corporate in-house legal department and/or private law firm. Strong interpersonal skills, including an ability to lead through collaboration. Excellent PC skills, including proficiency with Microsoft Office Suite programs and an ability to learn contract management software. Should preferably have Master's degree. Experience in health law at a law firm or in-house health care organization.
