Employment Counsel Duties: Counsel business clients on all HR, employment and labor matters, including employment discrimination charges, litigation and arbitration claims, and unfair labor practices. Train and advise HR staff on employment and labor law issues. Prepare employee communications/policies and all other HR/employment-related documentation. Respond to state and federal charges, audits and investigations. Analyze and prepare restrictive covenant agreements. Draft and negotiate vendor contracts. Will oversee the investigation of various claims and present well-reasoned and creative solutions and alternatives based upon independent legal research and a diligent analysis of the facts and applicable law. Candidate must also be able to provide advice to insurance companies that operate in a highly regulated environment, and negotiate agreements with labor unions. Communicate effectively by displaying effective oral and written communication skills. Provide regular legal support for one or more discrete units of the Corporation, and demonstrate increasing knowledge of the Corporations business, while retaining the discipline of legal analysis. Maintain positive and effective relations with other members of the Law Department, as well as management and other staff of the Corporation, and outside counsel. Perform legal research and investigate facts. Investigate situations and present well-reasoned and creative solutions and alternatives based upon independent legal research and analysis of the facts and the law. Prepare legal memoranda, contracts, pleadings, analyses, correspondences and other relevant documents. Provide legal advice to management and staff. Provide accurate legal advice and prepare effective documents based upon knowledge of federal, state and other applicable law, and the regulatory environment in which the Corporation functions. Provide results of analysis to other attorneys in the Law Department, or, under the direction of a managing attorney or other more experienced attorney, directly to appropriate management and staff of the Corporation. Apply sound business judgment to the provision of legal advice. Manage litigation, transactions or other matters or work cooperatively with outside legal counsel in accordance with the level guide. Assist and work cooperatively with outside legal counsel in litigation, transactions and other matters. Work with outside legal counsel in support of one or more projects. May direct the work of outside legal counsel or facilitate the work of outside counsel to address issues effectively and efficiently, including minimizing outside legal counsel fees and expenses, as appropriate. Negotiate with outside parties. Participate in any privacy or security committees or workgroups and offering privacy compliance opinions to the committee/workgroup as well as offering alternative approaches to processes which may create vulnerabilities for the company. Maintain and foster productive relationships between the Organization and group accounts, consultants, producers and other third-parties.

QUALIFICATIONS: JD Degree. 3 5 years of related, progressive experience in one or more areas of relevant specialization. License to practice law in the Commonwealth of Pennsylvania or applicable state (DE or WV); or eligible for admission within one year of hire. Law experience in related disciplines, such as insurance regulation, health law, general corporate law, mergers and acquisitions, contracts, antitrust, employee benefits, intellectual property and litigation. CIPP Certification or must achieve within one year of employment. Preferred: 8+ years of experience practicing employment law; 2-3 years of experience working on executive compensation and/or employee benefit issues; 2-3 years of experience with labor unions; Strong attention to detail; Able to work independently; Able to counsel senior executives confidently, proficiently and persuasively; Reliable, dependable and have a strong work ethic; Discrete and trustworthy in handling sensitive matters; Available in an office setting or business location during standard office hours as well as available during non-traditional hours; Excellent written and verbal communication skills; and Able to provide effective counsel in crises. Strong written and oral communication skills. Strong relationship building skills. Client focused with strong business acumen. Self-starter with the ability to work under pressure independently and as part of a team. Ability to think strategically and act proactively to create strong trust and confidence with business units. Strong innovative problem-solving capabilities. Keep current on recent developments in the law and develop in-depth knowledge of one or more areas of the law which are applicable to the Corporations business. Observe high standards of confidentiality consistent with all applicable laws, professional standards and requirements of the Corporation. Observe high personal and professional ethics. Must be familiar with all relevant federal and state employment-related laws and regulations, including the National Labor Relations Act, Title VII, the ADA, the ADEA, and the FLSA. Working knowledge of trade secret law, common law issues affecting the workplace and federal contractor obligations a plus.
