Corporate Counsel The candidate provides strategic leadership from a legal perspective as well as legal advice and opinions on a diverse range of organizational issues with a particular focus on commercial contract interpretation, litigation and claims management, employment and labor issues, and risk avoidance strategies, The position is also responsible for supporting and leading the contracting process and providing leadership and guidance to other contract professionals. In addition to an undergraduate degree, the position requires a Law Degree and membership, in good standing, in the applicable Law Society. Should have 6+ years experience as a lawyer is required, with previous in-house experience, particularly within a technical, engineering, or construction environment, preferred. Proficiency with the use of Microsoft Office suite (Word, Excel, PowerPoint and Outlook); Demonstrated understanding of contract law and proficiency in the interpretation of contract terms and conditions; Knowledge of, and experience in, a diverse range of legal specialties (employment law, leasing, litigation, contracts, occupational health, ethics and compliance as well as insurance and construction related matters). Demonstrated ability to think strategically and to identify and resolve legal issues, using sound judgement and practical approaches; Proven successful record as a partner with business clients in an in-house setting; Ability to work both independently and as a full and valuable member of an integrated business-legal team. Highly organized with the ability to manage multiple projects and priorities concurrently and within tight deadlines; Strong negotiation, interpersonal and oral/written communication skills, used to translate legal concepts into readily understandable advice; Drafting, reviewing and finalizing complex commercial contracts; Providing direction, mentorship and training to the local contract manager(s); Addressing specific areas of contractual dispute with client legal representatives; Drafting responses and memoranda of understanding and other legal documents; Collaborating with the legal and commercial teams to ensure understanding of business priorities and alignment on contractual terms and conditions; Sharing technical, commercial and contractual expertise with team members to ensure bid preparation is conducted in an efficient manner. Providing legal advice and opinions on a diverse range of matters; Acting as the legal lead on matters of local organizational concern; Resolving pending or threatened disputes between the company and third parties; Consulting and advising management on highly confidential and sensitive matters; Performing discovery and due diligence of various electronically stored or physical data in preparation for litigation, transactional work, financing, or M&A transactions. Providing best practice recommendations regarding corporate compliance; Supporting the Chief Counsel in the development and continuous improvement of risk mitigation strategies; Under the direction of the Chief Counsel, assessing and coordinating management of litigation and providing instruction to external counsel as required. Provide legal support to US HR regarding matters of employment or discrimination claims. Collaborate with US HR regarding the standardization of company policies and serve as the primary author of all company agreements and or restrictive covenants.
