Associate Corporate Counsel The candidate will provide top-tier professional legal services for a variety of corporate legal matters including complex commercial agreements spanning across all functions within the company, including, development agreements, manufacturing agreements, supply agreements, distribution agreements, confidentiality agreements, consulting agreements, and service agreements. The successful candidate will build relationships with colleagues in the Legal Department and business leaders throughout the organization. The ideal candidate will be comfortable in a rapidly growing and fast-paced environment, highly responsive, business-minded, practical, and team-oriented. This person will also have excellent legal judgment, decision-making, and problem-solving skills and a demonstrated ability to work self-sufficiently to prioritize and manage workload. Excellent legal, business, interpersonal, speaking and academic skills are required along with at least five years of licensed experience practicing corporate law, either in a law firm or in-house role. A law degree and good standing in a state bar are required, and the ability to become a member or authorized in-house counsel in the Florida bar is essential for this position. Responsible for protecting the organization's legal interests and maintaining its operations within the scope established by law. Provides advice and counsel to various internal functions and will draft, edit, negotiate, review and interpret complex commercial agreements spanning across all functions within the company, including, development agreements, manufacturing agreements, supply agreements, distribution agreements, confidentiality agreements, consulting agreements, and service agreements. Assist in due diligence review, negotiation and documentation of mergers and acquisitions and key strategic transactions, as needed. Assist in the administration and resolution of legal issues that arise in existing commercial relationships. Assist with the management of the companys legal structure, including organizing and dissolving entities and providing ongoing compliance with local legal requirements and best practices. Manages the development and implementation of legal strategies relating to contracting activity. Provides timely advice and counsel to senior management by advising the business on laws, regulations, and company policies. May supervise legal support staff. Up to 10% travel may be required. Must be a graduate of an accredited law school with a minimum five years experience as an attorney in corporate and transactional law within a law firm and/or in house setting. Must be admitted into and a member in good standing of a state bar. Experience in the medical device, pharmaceutical, or life sciences industry preferred. Knowledge and Skill Requirements/Specialized Courses and/or Training: Advanced writing, comprehensive reading, communication and research skills required. Electronic based legal research experience required. Machine, Tools, and/or Equipment Skills: LEXIS/Westlaw, Excel, MS Office, PC, printer, copiers and other miscellaneous office equipment.
