Corporate Contracts Counsel The candidate will support firm's global business, legal and compliance initiatives as a member of the legal team drafting, reviewing and negotiating contracts. Will provide the full scope of legal support to firm'ss indirect sourcing and I.T teams, which includes drafting, reviewing, and negotiating agreements and advising on the areas of commercial and manufacturing related transactions, sourcing, digital platforms, intellectual property, risk and anti-trust. Provide effective and pragmatic counsel regarding digital and e-commerce issues; draft, review, and negotiate digital, e-commerce, I.T. (cloud/service/storage agreements, etc.), intellectual property and marketing related agreements. Draft, manage and negotiate distributor agreements with customers across firm's business unit product lines. Draft and negotiate contracts with all manners of third party vendors for supply of services and goods to firm's in compliance with internal Delegation of Authority and contract management guidelines. Assist with tracking of customer and supplier compliance with firm's compliance programs. Participate in the development and implementation of procedures for contract negotiation, contract management and administration as well as tools to enhance the process, throughput, document retention, and sharing of best practices. Perform contractual and administrative requirements that are complex and varied in nature, usually requiring some originality, ingenuity, and degree of technical skill. Provide training to company business partners on various contracting, risk management, legal, and compliance topics. Support the broader legal team as requested; perform special projects and support continuous improvement of legal department standard work, knowledge management and processes. Support policy and process coordination among all constituencies, including enterprise, business unit and regional legal teams, finance and accounting teams, customers and vendors. Effectively manage the work and expense of external law firms where outside expertise is appropriate. The candidate should have earned a Juris Doctor from an accredited law school of recognized standing and currently licensed to practice law in the United States. 5 years of demonstrated legal experience in commercial law/contracts preferred. Must have experience drafting and negotiating complex contracts. Must have experience effectively managing commercial transactions, deals and disputes. Background in digital, e-commerce, software, and intellectual property is plus. International law and foreign language experience is preferred.
