Counsel, Government Contracts The candidate will be responsible to engage with the Global Contracts Chief Counsel and the Global Government Contracts Compliance Director on priority contracts and compliance issues. Serve as the lead government contracts attorney for an innovative and dynamic company. Work on a wide range of complex issues at the prime and subcontract level, provide risk assessments and assist with a variety of government contract and legal department initiatives. Support U.S. Government and international government contract issues across civil, defense and intelligence market segments. Advise on matters arising under U.S. federal procurement laws and regulations, including the FAR, DFARS, Procurement Integrity Act, Competition in Contracting Act (CICA), DCAA cost accounting and pricing principles, International Traffic in Arms Regulations (ITAR). Provide advice and counsel to senior management of the business and, when required, to suppliers, team members, and customers as it relates to government contracts law. Assist with compliance and training matters on government contracts and specific regulatory procedures. Engage with the business clients to draft, review and negotiate contracts in compliance with government contracts law. Evaluate and advise on mergers and acquisitions as it relates to government contracts, joint ventures, partnerships, teaming agreements and novations. Assist in the negotiation and administration of intellectual property rights and/or patents granted to other companies as it relates to FAR/DFARS. Manage and resolve contract disputes, bid protests and interventions; assist with or lead the management of contract litigation as needed (bid protests, equitable adjustments, cost and pricing, and breach of contract). Manage and advise senior leadership on issues related to cost accounting and pricing, audits, investigations and claims. Collaborate and/or manage outside legal counsel on various legal matters.

The candidate must have 10 years legal experience in Government Contracts. Juris Doctorate degree from an accredited law school is necessary. Licensed Attorney in a minimum of one jurisdiction in the United States is critical. 10 years of experience in negotiating and reviewing government contracts, resolving complex disputes and advising executive leadership is preferred. 5 years of in-house experience in the aerospace and defense industry is beneficial. 5 years of experience with Defense Counterintelligence and Security matters (e.g.s. work with U.S. DSCA of the Department of Defense/National Industrial Security Program, Facility Security Officer/FSO and FOCI related) along with other Foreign Investment matters (e.g. CFIUS) is an asset.
