Senior Corporate Counsel

Senior Corporate Counsel The candidate will report directly to the Chief Legal Officer and be an integral member of the legal team. This individual will focus on company reporting, legal operations, debt and equity financings, corporate law and governance matters. Will also engage in contract drafting and negotiation and advising on the legal risks accompanying business strategies and decisions. Support for SEC filings and internal process, including periodic and current reports, proxy statements and confidential treatment requests; Draft, review and negotiate agreements, amendments and related documents; Act as a proactive business partner to senior and executive leadership on a broad range of projects; Build trusted advisor relationships in addition to influencing and collaborating effectively across all levels of the Company; Lead the timely update, development and implementation of legal corporate policies, best practices, procedures and trainings; Preparation and maintenance of corporate records; Actively participate in legal department administration and operations working closely with the Chief Legal Officer and other department staff; and Demonstrate subject matter expertise in substantive legal areas managed, keep abreast of new developments, and instill best practices. Should have strong interpersonal skills, and ability to communicate and collaborate with individuals at all levels of the organization, as well as with outside parties, in a positive and effective manner. Should have JD from a reputable ABA accredited law school; California Bar preferred; 8+ years of relevant legal experience, with experience at a top-tier law firm; Background in the life science/biotech sector; Excellent oral and written communications skills; Excellent execution and organizational skills, attention to detail and results focused.
