Counsel Corporate Governance, M&A and Securities The candidate will be the subject matter expert in matters related to corporate governance, securities, and mergers and acquisitions matters. Will possess the utmost attention to detail and the ability to establish effective working relationships with senior leaders in tax, accounting, human resources, and various business units across the company. Providing legal advice and counsel with respect to securities laws and all public company disclosure matters, including drafting and reviewing filings with the U.S. Securities and Exchange Commission (e.g. 34 Act reports, Section 16 compliance, registration statements, proxy statement, etc.). Providing legal advice and counsel with respect to insider trading laws and the companys insider trading policy. Providing legal advice and counsel with respect to public company corporate governance matters, compliance with stock exchange listing requirements (including NASDAQ), and ensuring accuracy and compliance with applicable laws. Drafting and negotiating mergers and acquisition documents, and all ancillary documents related thereto required for closing. Advising on Human Resources matters, including compensation and benefits packages. Monitoring legal developments in assigned area that could impact the company. Supporting board of directors and board committee meetings, as needed. Overseeing and managing outside counsel and staff, as required. Additional responsibilities and job duties as assigned are required. Must be a graduate of an accredited law school and a member in good standing of at least one state Bar. Must have 7 years experience representing public and/or private companies in mergers and acquisitions and public company filing requirements, having assumed leadership roles on complex transactions and related corporate matters. Law firm experience preferred. Strong entrepreneurial spirit with ability to develop appropriate processes to manage growth. High energy level and demonstrated ability to coach and guide multiple objectives and initiatives simultaneously are required. Hands on approach and high level of attention to operational execution are required. Excellent communication skills with the proven ability to convey legal advice clearly and effectively are required. Ability to juggle multiple projects in fast paced, high pressure and rapidly changing environments are required. Excellent legal, business and practical judgment with strong problem-solving skills. Strong understanding of regulatory compliance as it relates to corporate governance and risk management.
