Senior Corporate Counsel DUTIES: Review and negotiate NDAs with vendors and customers. Support sales organization in negotiating and documenting customer agreements. Support supply chain in negotiating and documenting vendor agreements. Develop form contracts for standard transactions. Review other agreements/contracts from internal clients and provide advice as requested. Assist with administration of code of conduct and other corporate policies (Anti-bribery, insider trading, disclosure, etc.). Conduct audits with respect to code of conduct and other corporate policies. Assist compliance officer with providing guidance on corporate policy questions/issues. Develop training materials for the company s internal compliance training and education efforts. Support R&D staff regarding questions pertaining to intellectual property protection and exploitation. Assist with EICC Code of Conduct compliance efforts and training. Manage and assist with employment, client, and contract disputes preliminary to potential litigation. Manage outside counsel in active litigation matters, including providing strategic direction and, in some cases, handling the matters him- or herself. Support HR, IT and Finance departments with requests for contract review and legal advice. Work on special projects as directed by General Counsel. Examples: IPO, corporate restructuring, corporate financing, due diligence, acquisitions, document retention, etc.

Qualifications: JD Degree from a well-recognized law school and excellent academic credentials required. 5-8 years of corporate legal experience, preferably with a publicly traded company. Ability to read, analyze, and interpret the most complex documents. Ability to respond effectively to the most sensitive inquiries or complaints. Ability to make effective and persuasive speeches and presentations on controversial or complex topics to the Board and outside investors. Excellent leadership and conflict resolution abilities. Excellent communication and presentation skills. Ability to motivate staff and build an effective team. Hands-on, energetic performer with a track record of success in managing a staff with rigor and discipline. International experience preferred. Deadline: 13-Jan-2020 (MST)
