Procurement Contracts Attorney The candidate should be an experienced, resourceful attorney who will primarily focus on drafting, reviewing, negotiating, administering and interpreting a wide variety of technology and direct/indirect procurement agreements, including supplies, consulting, real estate, lease, manufacturing, service, equipment purchase, and research agreements, as well as in-bound technology/software licenses, but who is also willing to work on a variety of projects and learn new areas of law. Attorney will have the opportunity to work on other special projects as needs arise. Reports directly to the General Counsel and the Senior Director of the Procurement Services Department and will be embedded in the Procurement Department. Provides in-house legal counsel to Procurement department staff and other internal clients in accordance with General Counsels direction and established Institute policies and procedures. Assists the Senior Director in providing hands-on training and professional guidance to Procurement staff on best practices and applicable procurement standards and requirements, including under the Office of Management and Budget (OMB) and regulations such as the Procurement Standards defined in 2 CFR 200 Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards 200.317 - 200.326, Federal Acquisition Regulations (FAR) and Defense Acquisition Regulation Supplement (DFARS) as applicable to each funding source. Assists Senior Director in the development, documentation and implementation of a strategic contracting program for the Institute to include the establishment, review and ongoing maintenance of written policy, procedure manuals, forms, clause libraries, templates, training documents and process maps. Informs and promotes department services to all suppliers, researchers, faculty and staff. Interacts with and serves cross-functional business leaders throughout the Institute, advising on legal risks, business strategies and other issues related to the contracts. The successful candidate will possess exceptional business judgment, creativity, and an understanding of an academic, biological sciences environment. The day-to-day work requires collaboration with many levels of employees, as well as strong time management to prioritize and efficiently manage work-loads in a fast-paced, service-oriented environment. Contracts will involve Institute templates, third party templates and original drafting for new or unique transactions. Juris Doctor degree from ABA accredited law school. Licensed to practice law in California with membership active and in good standing. Project Management Professional certification is preferred. Should have 5-7 years of comprehensive legal experience in contract negotiation, and drafting various contract structures for commercial and business transactions and/or procurement contracts including master agreements, short and long-term agreements and multi-party transactions. Strong track record of direct client interaction and advice, providing both long-term strategic and day-to- Experience and judgment to identify and address potential risks and liabilities related to complex multi-faceted projects, contractual terms and business decisions and get deals done. Demonstrated experience negotiating, redlining, editing, proofreading and writing contracts that comply with OMBs UG, FAR and DFARS and other agency requirements in a non-profit research or academic setting funded by federal contracts and grants. Previous experience researching, writing, and communicating effectively with a non-legal audience in a manner that conveys standard contracting and commodity terminology, procurement policies and procedures, action plans, ideas and information. Previous participation in projects to reduce costs and improve contracting processes as reflected by practical; Work experience in higher education, biotechnology or non-profit research environment. Law firm experience as a transactional attorney. Experience working with Enterprise Resource Planning (ERP), eProcurement, inventory management, customer service and/or financial systems, such as any of the following specific systems/programs: SCT Banner, Jaggaer/SciQuest, and Business Objects (Crystal Reports). Experience in writing and negotiating contracts for common commodities used in a research environment. Examples include life science consumables, capital equipment, chemicals, technology products and services, furniture, animal research supplies, maintenance and operating supplies, janitorial products and services, safety supplies, consulting engagements, professional and technical services, etc.
