Corporate Counsel The candidate will: Leads the legal aspect of contract negotiations for assigned contracts. Drafts and negotiates complex and unique agreements, reviews legal documents, and provides recommendations. Supervises the work of outside counsel. Uses high level of broad experience to oversee the work on assignments that require a deep understanding of the Company's business needs, strategy, and operations as they relate to the given area of legal specialty. Oversees and leads legal negotiations with customers and third parties. Works independently and exercises judgment while providing guidance in diverse matters affecting day-to-day business operations by assisting, advising, investigating, researching, and resolving legal matters within corporate legal policies to ensure that Company personnel are aware of and in compliance with applicable laws and regulations. Researches and is aware of related issues and changes in the law, and anticipates the potential impact of changes on the organization. Provides counsel to senior leadership, including executive management, regarding risks and possible risk mitigation plans. Oversees and leads the preparation, recommendation, and execution of legal documents by analyzing, drafting, negotiating, and reviewing these documents to ensure consistency with respect to the Company s philosophy or principles with respect to risk and commercial and legal soundness. Leads investigations and oversees the handling of claims by and against the Company, and may include supervising outside counsel on third party claims and litigation. Conducts interviews, prepares reports and works on discovery responses. Provides information to General Counsel in concise legal terms to aid in the decision-making on legal, liability, risk, and legal compliance issues. Works with assigned risk manager for response to insurance coverage requirements requested contractually by customers and third parties. Prepares reports for and advises executive management regarding the Company's position on assigned legal matters. Shares knowledge in areas of special interest to the Company, including, intellectual property, software licensing issues, international and domestic contract law, privacy, data protection, financial services, insurance issues, general corporate matters, servicing, vendor procurement, and other issues affecting the business. Support non-litigation projects such as drafting Company policies and serving as Legal Department s designee at various meeting, programs, and committees that may be established from time to time. Provide general legal services to the Company, including guidance on various issues related to the Company s operations and practices. Provide effective identification and mitigation of key business legal risks. Participate in and provide guidance in complex business transactions. Create practical and effective solutions to unique legal issues presented. Review of legal opinions, legal structure, and other applicable legal issues. Analyze and interpret laws and regulations. Ensure that Company conducts business in compliance with all applicable laws and regulations. Supports and adheres to Company's core values. Performs other duties or responsibilities as assigned or required. Supports and adheres to Company's Cod of Conduct and Ethics Policy. Represents company's in a positive, professional manner when working with both internal and external customers.

The candidate should have Juris Doctorate Degree - Graduate of accredited law school (including all other necessary prerequisites for gaining licensure to practice law), and maintaining qualifications and licensure throughout employment. Should have 6+ Years Relevant Experience. Prior experience managing legal professionals and outside counsel and experts. Summarizes information and analysis effectively and concisely in verbal and written form. Ability to independently manage workload and other projects. Comfortably leads internal group meetings with peers and department heads. Strong computer skills and proficiency in Microsoft Office Suite. A combination of education and experience may be considered. In-depth experience with the job responsibilities outlined above. Experience with a multinational corporation, major law firm or government agency. A natural orientation for continuous improvement and problem solving. A collaborative approach and willingness to engage in an environment of active idea sharing. Sharp organizational skills and the ability to multi-task in a fast-paced environment. The ability to produce consistent quality under deadline pressure while paying careful attention to detail. Self-motivation and a strong sense of ownership and accountability.
