Corporate Counsel The candidate will work on various corporate matters, including merger, acquisition and divestment transactions, as well as corporate governance. In addition, will provide legal support to the international businesses, including drafting and negotiation of distribution agreements, supply contracts, services agreements, and other strategic commercial agreements. Will also collaborate with internal specialists and outside counsel on regulatory, compliance, trade and advertising law issues that arise in the international businesses. Furthermore, will work closely with the Senior Corporate Counsel (Licensing) and the Office of Strategic Alliances to assist with international trademark licensing transactions. Finally, will take on special projects as assigned. Will operate within a very collaborative, high performing and inclusive legal team that delivers world-class legal services to the company and to business partners. Provide support as needed within a team structure on corporate matters (including M&A and corporate governance). Work closely on international legal issues, covering a variety of matters in both leading and supporting roles. Partner with the New Business Development unit and Office of Strategic Alliances to help develop business strategies, goals and operations including advising on strategic risks and structuring for significant partnerships and alliances; new business development ventures; and new channel- and technology-related development projects, which may include international partnerships. In collaboration with the Senior Corporate Counsel, draft and negotiate brand licensing agreements, alliances agreements, and other forms of joint development effort in respect of the international business; partner with internal business teams to monitor compliance with alliances agreements. Work with Legal Services leadership, other attorneys and staff on departmental administrative matters. Develop and implement legal training for business partners. Assist in other project management work as needed. Work on special projects in the Corporate team as assigned.

The candidate should have JD degree and BA/BS degree; top tier undergraduate and law schools. Should have 3-4 years of legal employment in a top-tier law firm, with experience advising on corporate and commercial matters, including drafting and negotiating agreements and direct interaction with clients. Experience on international and cross-border transactions and issues, particularly in Asia, Middle East and/or Europe. Ideally some experience with trademark licensing transactions. Member of the California State Bar, or eligible to register under the California State Bar in-house counsel program. Broad range of relevant legal experience, including the ability to identify, prioritize and resolve critical legal issues in real time. Excellent verbal and written communication and presentation skills, particularly the ability to transform complex information into clear, concise and actionable communications for business partners. Willingness to learn and work on a broad variety of areas. Ability to work independently or within a team as required, including as part of cross-functional and cross-border teams. Self-starter with a sense of urgency. Ability to multi-task, handle unanticipated situations effectively and work well under pressure with tight deadlines to ensure timely and appropriate response to issues raised. Excellent judgment and ability to handle sensitive and confidential information. Outstanding execution and organizational skills and attention to detail. Excellent interpersonal skills and positive, enthusiastic attitude. Commitment to inclusion and diversity. Ability to identify and use the most efficient and effective legal resources to complete the work in a timely and cost effective manner.
