Senior Counsel - Corporate & Securities Responsibilities: Ensuring compliance with, federal and state securities and corporate laws, as well as applicable rules and regulations of NASDAQ, NYSE and industry organizations that affect public company reporting or compliance, including Sarbanes-Oxley, Dodd Frank, ISS, Glass Lewis, etc. Preparing and reviewing SEC filings, including 10-Ks, 10-Qs, 8-Ks, Section 16 filings, proxy statements, and advising on applicable securities law issues, including the Companys insider trading policy and Regulation FD compliance. Supporting global corporate initiatives and subsidiary management. Keeping abreast of general movements, themes and developments in Delaware corporate law and issues related to shareholder activism. Providing corporate secretarial support for the Companys Board of Directors and annual shareholders meeting, including preparing and reviewing materials for the Board of Directors and its committees and the Companys proxy statement. Preparing company documents, such as minutes, consents, resolutions and certificates, charters and policies. Advising on the executive compensation matters and preparing/reviewing equity compensation disclosure. Actively advising on disclosure matters, including reviewing and commenting on press releases, securities analysts communications and presentations. Collaborating with, advising, and supporting a broad range of departments and functions, including Accounting, Tax, Treasury, Investor Relations and Human Resources. Assisting with coverage of general corporate and commercial matters, including reviewing contracts, as the need arises.

The candidate should be Undergraduate and J.D. degrees from recognized institutions, top academic credentials. Must be a member of the Connecticut or New York Bar. Prior law firm or in-house experience required. Should have 4 - 7 years of experience, principally in corporate and federal securities laws and requirements applicable to a public company, with sufficient experience to handle responsibilities with a minimum of supervision. Must have the ability to organize, plan, coordinate and implement large and ongoing projects and the ability to work independently and as part of a team. Must be familiar with financial statements and accounting literature and comfortable discussing underlying financial statement concepts, including accounting and tax. Must have the ability to contribute to discussions of general business issues and understand and counsel clients in a manner consistent with the Companys goals and culture. Must have excellent written and oral communications skills, the flexibility and ability to work in a fast-paced environment, and tenacity to pursue clarification through legal research, with keen attention to detail. Must have good judgment, a high level of professional integrity, the confidence to interact with and counsel executive management, and the discretion, tact, and ability to maintain confidentiality.
