Contracts Counsel Responsibilities: Lead the contracting function, including drafting, reviewing, and negotiating a wide variety of contracts (e.g., MSAs, SOWs, various vendor agreements, consulting agreements, MTAs, clinical CRO agreements, manufacturing agreements, license agreements, and software licenses). Review clinical-trial related documents (e.g., ICFs and general legal correspondence). Take a practical approach to contracting focused on the needs of the business and internal clients. Work closely with internal clients to identify and articulate contract issues and risks, provide practical advice, become a trusted partner and ensure efficient and effective completion of contracts. Work closely with the General Counsel to review existing contracts process and contracts management system, and modify and optimize to meet legal and business needs. Manage contracts process and contracts management system, and educate internal clients. Review existing contract templates and implement changes as needed. Manage contracts management system vendor. Manage outside counsel and related budget. Provide general legal advice on, and support for, other corporate matters.

Requirements: JD Degree from an accredited law school required. Admitted to practice in at least one state, preferably CA, and in good standing. 8+ years' relevant legal experience, with 5+ years at a biotechnology or pharmaceutical company, preferably in early-stage development. Experience managing and optimizing contracts management systems required. Experience with clinical contracting strongly preferred. Experience with GDPR and other privacy laws preferred. Skilled at providing high-quality, timely, and practical legal advice and risk assessments. Skilled at explaining complex legal issues. Skilled at advising senior management. Skilled at managing outside counsel. Excellent judgment. Excellent communication, negotiation, presentation, and interpersonal skills. Excellent organizational and project-management skills. Strong client-service attitude to serve as a trusted business partner and collaborator. Strong and demonstrated ability to work in a fast-paced and dynamic culture.
