Corporate Contracts Attorney The candidate responsibilities will include: Creating the engagement strategy and leading the contract negotiations directly with customers to achieve agreed upon risk allocation models. Driving the internal decision making process for stakeholders to ensure internal alignment, compliance with corporate risk directives and policies and achieve the expected negotiation strategy. Providing training to the internal stakeholders regarding corporate contracting practices and policies. Using good business acumen and legal judgement to identify both legal and commercial issues and provide effective risk mitigation guidance to sales and business units. Working to address any contractual disputes and product warranty claim issues along with the proactive identification of improvement measures to anticipate and avoid future events. Establishing operational objectives for systems and work plans for contract management and administration in compliance with corporate and department policies. Supporting acquisitions including contractual due diligence, negotiation, and re-assignment. Staying current with laws, rulings and regulations applicable to the company and industry, undertaking legal research, coordinating with other corporate counsel, managing outside counsel scope and budget. Possibility of taking over the management responsibilities of other team members.

A J.D. degree from an A.B.A. accredited law school and member in good standing with in a state Bar is required. Will be a team player who demonstrates flexibility and initiative while analyzing, drafting, negotiating, and managing a wide range of semiconductor sales agreements in a highly collaborative and matrixed decision-making environment. This position requires strong business acumen and experience in the area of commercial transactions, contract management, and contract law including the UCC, warranties, limitation of liability, indemnification, and compliance. Experience in the semiconductor industry is desired. Should have 10 years commercial transaction experience drafting and negotiating commercial contracts. Must have strong collaborative skills with the ability to lead cross functional teams including sales, procurement, design, and manufacturing through the disbursed decision making process to reach informed decision-making and consensus. Must have strong and effective communication and presentation skills to convey complex legal issues and business concerns in clear and concise communications to advise all levels of management and employees. Experience managing a team is required. Should have experience in managing risk while balancing the need to grow and sustain business relationships with customers, suppliers, distributors, vendors, subcontractors. Must have exceptional organizational skills with the ability to prioritize work flow, work independently and efficiently. Advanced Microsoft Office skills are required.
