Corporate Attorney The candidate will advise on a wide variety of global corporate transactions, including mergers and acquisitions, divestitures, joint ventures, equity investments, financing and tax arrangements, subsidiary matters and other transactional and corporate matters. Support the Corporate Secretary team on corporate governance and securities law matters, including Board meeting preparation, drafting minutes, and oversee stock plan administration. Responsibilities include drafting, reviewing and negotiating M&A and other transaction documents under the supervision of the Director, Corporate Counsel; evaluating, communicating and managing transaction risks; drafting Board meeting agendas and minutes; facilitating proper stock plan administration; collaborating with Legal Department colleagues, functional business partners, transfer agent, and stock plan provider on a wide range of issues; and managing outside counsel. Provide full range of legal counsel on strategic transactions, such as mergers, acquisitions, divestitures, joint ventures, equity investments, and other complex transactions, including: oversight for, and performance of, Legal due diligence activities; negotiating and drafting term sheets, indications of interest, letters of intent, and NDAs; negotiating and drafting transaction documents; advising on applicable antitrust considerations; assessing legal and transaction risks and advising business partners accordingly; advising business partners on various deal points and recommending courses of action and advising on post-close matters, such as indemnification and representation and warranty insurance matters. Serve as primary day-to-day legal support to Toro s Business Development group. Partner with Business Development to monitor post-closing deal obligations. Assist Corporate Secretary team with Board meeting preparation, including the assembly of Board meeting materials using an electronic Board portal tool and preparation of drafts of resolutions and meeting minutes. Assist with preparation of annual proxy statement and mailing to shareholders. Oversight for planning and execution of annual shareholder meeting. Facilitate the Section 16 reporting process. Oversight of transfer agent and processes. Oversight for global stock plan administration and partner with internal finance and human resources colleagues to facilitate necessary actions, tracking and reporting. Provide full range of legal counsel on treasury, tax, and other finance transactions, such as credit facilities, floor plan arrangements, derivative transactions and parent guarantees, including: negotiating and drafting documents for such transactions and advising on step plans for various transactions impacting domestic and international subsidiaries. Serve as primary day-to-day legal support for firm s Finance function. Special projects as assigned. The candidate must have JD Degree. Should have attorney licensed to practice law in any state, preference for Minnesota. Must have 3+ years of corporate experience in a law firm with strong background in transactional work, particularly M&A and corporate finance transactions, corporate governance and Section 16 reporting. Should have public company experience. Must have strong academic credentials. Should have strong oral, written, presentation and listening skills. Should have excellent interpersonal skills, articulate and professional. Must have proven project management and leadership skills. Should have demonstrated ability to get things done. Should have ability to work as a member of a high performing team. Should have desire to work directly with the company s finance and business development professionals. Should have strong business acumen, particularly the ability to read and understand financial statements. Should have demonstrated problem solving and decision-making skills. Should have highest level of integrity and business ethics.
