Chief Corporate Lawyer & Deputy General Counsel, Global Corporate Affairs The candidate should be an experienced senior corporate attorney to serve as the companys chief global corporate counsel and lead our Global Corporate Affairs (GCA) law group as the Deputy General Counsel (GCA). Based in New York, GCA manages a broad range of corporate, securities and transactional matters including global M&A, our public company SEC and NYSE listing issues, corporate matters specific to our Swiss domicile, corporate finance, investments, and intellectual property. GCA provides essential counsel to Chubbs executive management team in the U.S. and abroad, working with legal department colleagues across regions and business lines. The Deputy General Counsel GCA is one of the principal advisers to the Global General Counsel, providing expert guidance on corporate governance and other matters to the General Counsel and directly to the Board of Directors of Chubb Limited. The Deputy General Counsel (GCA) works closely with and advises global leaders for Asset Management, Corporate Development, Finance, Treasury and Communications. Must have strong foundational knowledge of corporate governance, securities, accounting, international taxation, compliance, and regulatory matters, as well as familiarity with intellectual property law and emerging digital legal issues. Should be comfortable operating at a senior executive level yet have the flexibility and willingness to jump from oversight of complex legal issues to roll up the sleeves projects. Should have 15 years progressive experience with the most sophisticated and complex corporate legal matters. Experience as a partner (corporate, M&A or similar) in a large, full-service law firm is strongly preferred and/or experience as a senior corporate attorney at a major public company, with a preference for financial services/insurance experience. Experience working with and advising Boards of Directors. In-depth knowledge of U.S. securities law and corporate governance. Substantial experience with relevant corporate transactions, including mergers, acquisitions, dispositions, investments, financings, and commercial and IP agreements. History of developing, directing and leading deal teams and corporate attorneys to accomplish similar work. Cross-border transactional experience strongly preferred. Confidence and experience with international matters generally, including cultural aspects of global business. Insurance or financial services industry experience preferred. Comfort with intellectual property and emerging digital issues is expected. Should have J.D. degree and Bar admission.
