Senior Corporate Counsel, Intellectual Property The candidate will play an important role in enabling companys success by providing expertise and counsel on intellectual property matters, protecting the intellectual property assets essential to companys success, and guiding business strategy and operational decisions in line with intellectual property laws and best practices. Reporting to the Director and Senior Intellectual Property Counsel and collaborating closely with legal and business colleagues, you will provide key legal support for companys patent, trade secret, copyright, trademark, open source and confidentiality programs. Develop a deep understanding of companys business strategy and products. Work closely with the company IP team to develop and execute on companys intellectual property strategy. Proactively partner with company engineers, business teams and outside counsel to support and grow companys patent, copyright, trademark and trade secret programs. Advise and support the broader company legal team on intellectual property matters, including patent, copyright, trademark, trade secret, inbound and outbound licensing and open source. Assist in defining risk positions, drafting and negotiating strategic research and development agreements (including collaboration, sponsored research, consortia and government research agreements). Collaborate cross-functionally on company initiatives affecting intellectual property assets to advise on legal issues and best practices. Collaborate with outside counsel to manage cease & desist, offers to license and other pre-litigation IP enforcement matters. Collaborate with key company stakeholders to mature companys confidentiality practices as part of a larger Data Protection Program. Create, enhance and continuously improve internal training programs to build general awareness of the importance of intellectual property and to drive best practices to both leverage and protect those assets. Exercise excellent legal judgment and extraordinary communication skills to provide practical, clear, and concise counsel.

The candidate should have JD degree from an ABA-accredited law school; member in good standing of at least one state bar (CA preferred). Must have 5-7 years experience in the area of intellectual property law (with at least 2 years at a law firm). Excellent oral and written communication skills are required. Should have demonstrated business acumen: Must see the big picture as well as the relationship of very detailed and specific legal and business issues. Must be tech-savvy, with the desire and ability to learn companys products and business. Should preferably have prior experience working in-house at a technology company on intellectual property matters. Technical background (particularly a degree in computer science, software coding experience or experience working with company software products) is desired. Should preferably have prior experience building/supporting innovation protection programs leveraging both trade secret and patent (particularly if you have patent prosecution experience). Should preferably have Prior experience with strategic research and development agreements (including collaboration, sponsored research, consortia and government research agreements). Superior presentation skills are required.
