Associate Corporate Counsel, Mergers and Acquisitions The candidate will work on legal issues as disruptive technological innovations require creative and proactive legal guidance. Will support a variety of Mergers and Acquisitions (M&A) and investment transactions, managing key aspects of due diligence, drafting and integration. You will contribute to a constantly evolving business. Responsibilities: Support a variety of M&A, investment and other strategic corporate transactions in a substantive fashion without extensive supervision, including structuring, due diligence and definitive documentation. Work closely with Googles corporate development group and cross-functional partners throughout the life cycle of each agreement. Provide education and advice on corporate matters both within the legal department and across various departments within Google, including Finance, Product Management and Engineering. Assist in developing legal strategy both on specific and across multiple transactions. Minimum qualifications: JD or equivalent practical experience. 3 years of Mergers and Acquisitions specific attorney level experience. Admitted to the bar in which position is located and in good standing or otherwise authorized to practice law (e.g. have registered in-house status) in the state in which the position is located. Preferred qualifications: 5 years of relevant work experience in a law firm and in-house legal department. Hands-on contract agreement experience performing due diligence, drafting and negotiating transaction documents, coordinating cross-functional teams, and advising business stakeholders and senior management. Knowledge of a broad range of legal topics impacting corporate transactions, including tax, intellectual property and employment. Closing date: February 21 2020.
