Corporate Counsel The candidate will help business partners negotiate commercial agreements, including supply agreements, transportation and logistics agreements, commercial sales and distribution agreements, and services agreements; advise business partners on key provisions of agreements; assist with SOWs, RFQs and RFPs, as required; and review existing systems and supplier contracts and help clients review and prioritize current and future contract negotiation. Template Agreements and Policies. Develop, maintain, and refresh Otters supply chain and IT contract templates, as well as Otters corporate policies and processes that impact those operations. Sales Support. Support, as needed, government contracting, B2B, alliance, commercial sales, distribution, and customer supply arrangements arising from sales, brand and marketing activity, including compliance review of advertising, packaging, and marketing materials. Training Delivery. Provide training to Otter employees who help negotiate supply chain and IT contracts, and who work with Otters suppliers and vendors on a regular basis. Execute Assigned Department Projects. Execute assigned projects related to strategic departmental initiatives, including reporting findings, providing written reports, and presenting work product. Acumen. Demonstrate high level of business acumen and ability to pro-actively establish credibility and trust as an attorney, trusted advisor, and business partner with cross-functional perspective. Safety. Support and maintain a positive safety culture by following all safety policies and procedures and actively contributing to a safe working environment. Bachelor's degree required. Juris Doctor (JD) from an accredited law school and admission to at least one U.S. Bar and ability to become admitted to the Colorado Bar required. Minimum ten years of experience practicing business/corporate law either in a law firm or in-house legal department (or a combination) is required. Experience must include drafting commercial agreements as well as excellent analytical skills and the ability to review documentation and other available evidence and advise on solutions required. Experience with international matters and regulatory matters pertaining to consumer goods preferred. Experience with Salesforce and Agiloft (contract management system) preferred.
