Corporate Counsel - Transactional The candidate will provide assistance to the VP of Legal and act as an integral member of the Legal Team. The ideal candidate will have strong healthcare, transactional, ERISA and HIPAA experience. No direct reports. Autonomously draft and negotiate service agreements and business associate agreements in the Employee Benefit space with a wide variety of customers who are Plan Sponsors under ERISA. Review, markup/draft (from forms and from scratch), negotiate and close other commercial contracts, including master services agreements, statements of work, licenses, and NDAs. Provide comprehensive commercial contracting services to business clients, including support in RFP responses. Provide rapid, practical, business-oriented legal/commercial contract advice directly to business clients. Support business clients in negotiating price, deliverables, services scope, warranty and other commercial terms. Apply innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk and foster long-term client relationships. Provide other general corporate legal services and counsel under direction of VP, Legal. Monitor changes in state and federal laws that might impact the company, including various privacy and security regulations, including HIPAA. Continuously improve contract management operating policies and practices through collaboration with Legal, Sales, Accounting and Finance teams. Must demonstrate experience with different kinds of commercial transactions (e.g., Employee Benefit vendor agreements, contractor agreements, software licensing, outsourcing). Must have strong aptitude towards drafting documents, emails and anything else in a very precise manner, while still being concise and digestible for non-lawyers. Should have D. degree with license to practice law in Ohio. 7+ years of relevant experience in a law firm and/or corporate legal department; in-house corporate legal department experience preferred.
