Senior Counsel, Renewable Energy

Senior Counsel, Renewable Energy The candidate to work on the closing of renewable energy transactions for new project developments as well as project acquisitions. This position reports to the General Counsel and will provide professional legal advice, counsel and oversight of the legal documentation and diligence to support and facilitate the financial closing of solar project transactions. Work collaboratively with business development, finance, and operations teams to move projects successfully through the closing process. Support the drafting and negotiation of project finance documentation, including tax equity related agreements. Draft and negotiate equity related agreements on behalf of company, including purchase and sale, joint venture, shareholder, membership interest, contribution and similar equity agreements. Draft and review commercial contracts including Power Purchase Agreements, Energy Supply and Services Agreements, Tolling Agreements, Site Leases, EPC Agreements, SPV formation documents, among others. Oversee diligence and provide guidance either directly or through external counsel on state and local laws applicable to companys solar and renewable energy transactions. Review and help prepare responses to requests for proposals and other competitive tender,. Assist the General Counsel with M&A transactions and corporate finance transactions as needed. The candidate should have JD degree from an accredited law school. Must have 4 years of employment experience with a top law firm or corporate legal department regularly engaged in solar and renewable project finance. Experience in transactional work including renewable M&A and renewable investment structures is required. Should have prior experience in closing renewable energy transactions, preferably solar and/or related renewable transactions. Should have ability to interact with stakeholders and leaders in a highly collaborative organization. Should be member in good standing of a state bar. Must have strong interpersonal and communication skills, with the ability to quickly earn the confidence of people at all levels of the organization. Should have excellent oral and written communication skills. Should be skilled at handling unanticipated situations effectively and working well under pressure.
