In-House Counsel in Construction Duties: Drafts and/or oversees the development and implementation of complex contracts and assists in contract negotiations with clients, subcontractors, and any other related parties. Manages contract reviews, bank assignments, subcontract comments, and lien issues. Effectively performs contractual risk analyses and presents options for executive consideration/management. Negotiates, writes, reviews, summarizes, researches and executes a wide variety of other agreements or leases. Recommends modifications where necessary and advises preferred language and any acceptable alternatives. Periodically updates standard agreements. Advises senior management on the nature and status of claims and litigated matters including risk assessment, budgeting, scheduling and recommended course of action. Actively interfaces with external counsel representing Catamount, and secures representation and experts in other states when needed. Prepares depositions and settlement negotiations, as required. Effectively represents the company in local Colorado matters, including litigation, preferably with limited external representation. Performs pre-litigation work to minimize risks and maximize legal rights, including necessary legal research and any document production, control and retrieval. Effectively negotiates with client counsel as required. Together with operations executives, ensures our staff is documenting projects correctly relating to non-performing subs, project termination, owner delay, and any other impacts or issues with a common sense approach. Coordinates efforts in those endeavors across all business units. Participates in the resolution of highly complex or sensitive legal issues. Enterprise Risk Management & Training Creates a proactive risk mitigation environment through training on substantive legal and risk management topics. Actively participates in company Enterprise Risk Management efforts. Acts as an agent of corporation in all legal matters. Drafts all legal documents for corporate use. Develops legal opinions as necessary and provides counsel to management. Provides legal support for Employee Stock Ownership Plan (ESOP) related matters. Prepares needed documents and reports as required by the Board of Directors and Board subcommittees. Provides needed information and reviews for RFP and project pursuits. Keeps abreast of federal and state legislative changes that may affect the company and its affiliates. Develops and maintains policies and procedures as needed, such as document retention policies, HR policies, and federal contractor procedures. Reviews any documents or policies related to federal contractor compliance, as required. Aids in insurance issues, including general liability, professional liability, auto, and workers compensation claims.

Qualifications: Graduate from an accredited Law School with a JD degree and currently licensed in and permitted to practice in the State of Colorado. 8+ years experience with a law firm or as in-house counsel, with experience working on behalf of construction companies. Superior analytical skills, interpersonal skills, problem solving skills, and negotiating skills. Highly motivated self-starter; works with a sense of urgency and is able to work autonomously and without significant supervision. Able to successfully balance workload and demands from multiple parties simultaneously; possesses excellent time management skills. Consultative and collaborative approach, with demonstrated ability to act as a true business partner. Ability to perform successfully in cross-functional teams, with the ability to lead, influence, counsel and monitor. High level of professionalism and outstanding business judgment. Strong drafting and negotiation skills. Accurate, thorough, precise and attentive to detail. Excellent verbal and written communication skills. Strong computer skills, including Microsoft Office applications. Willingness and ability to travel, including in connection with any dispute resolution.
