Associate Corporate Counsel

Associate Corporate Counsel The candidate will writes, negotiates, and executes agreements and contracts on behalf of the company. Drafts, reviews, negotiates, and executes a large volume of major and/or nonstandard contracts, terms and conditions, and agreements with public and private sector customers and vendors, to align transactions and documents with Iron Bows corporate goals and initiatives. Drafts, reviews, and revises company standard agreements, contracts, templates, and terms and conditions. Assists with corporate governance and regulatory compliance matters. Assists in the identification, development, and implementation of contractual, compliance, and corporate policies, procedures and programs. Responds to ad hoc queries, including identification, analysis, and evaluation of risks and issues in order to provide appropriate and creative contractual and legal solutions. Demonstrates thorough general functional knowledge across a wide range of sub-disciplines within the individuals specialty area(s) (e.g. general corporate law, transactional law, risk management, Federal Acquisition Regulations, contracts and contracts management, etc.). Researches and interprets government and commercial regulations as they apply to the Companys contract areas and advises project and account managers, as well as leadership teams and other company personnel of contractual rights, responsibilities and obligations. Collaborates with outside counsel and applicable internal and external stakeholders on a range of issues. Participates in special projects as required, and performs other duties as assigned. Works as part of a dynamic, high-performance team to proactively resolve contractual and legal issues. Self-starter, with the ability to work both independently and collaboratively, to handle the various duties and responsibilities assigned.

The candidate should have a Bachelor's degree (Major in Business or a related field preferred). Should have Juris Doctor (J.D.) degree from an accredited U.S. law school. License to practice law in the Commonwealth of Virginia or hold a Corporate Counsel Certificate from the Virginia State Bar. Should have 4 - 6 years of legal practice (in-house or with a law firm) and/or government contract experience is desired. Strong communication, interpersonal skills, organization, and time management skills. Excellent problem-solving skills. Strong knowledge of IT products and services. Strong understanding and knowledge of public procurement practices and regulations (both Federal and State, Local, and Education related). Strong MS Office skills (Word, Excel, PowerPoint) in using and developing documents, spreadsheets, and presentations are required. Ability to manage multiple matters, prioritize requirements, and meet deadlines in a timely and effective manner. Ability to learn in a fast-paced environment. Must be able to work independently and in a team environment.
