Contracts and Procurement Attorney DUTIES: Serving as a legal advisor to the VMO, providing strategic advice and counsel focused on appropriate procurement practices, management of vendors, and mitigation of risk associated with outsourcing arrangements. Drafting and negotiating a wide variety of contracts with vendors and suppliers, including provider network agreements, care management arrangements, marketing contracts, other services agreements, SaaS agreements, software license agreements, hardware purchase agreements, other IT related agreements, staffing, contract labor, and human resources services agreements, and other procurement or purchase related agreements. Assisting with the development of standard contract templates and identifying areas of continuous improvement for the contract and vendor management process and other company processes. Drafting, reviewing, and negotiating non-disclosure or other agreements for the protection of confidential, proprietary, and sensitive information. Counsel business units and functional areas on legal implications of commercial, operational, and other activities, and provide legal advice that aligns with business goals. Work closely with other business units to foresee and protect company against legal risks. Perform complex legal research and prepare legal memoranda. Assist with management of outside legal counsel. Provide support to the Legal Department by contributing to projects/matters of various complexity. Provide support in the development and delivery of new products and services. Work autonomously.

REQUIREMENTS: Requires a Bachelor's degree and Juris Doctorate degree from an ABA accredited law school. Must be admitted to a recognized Bar. 5-8 years of experience in a top law firm and/ or in-house legal department. Experience with federal contracting/procurement law preferred. Experience with non-profits and tax-exempt entities, including 501 (9) entities preferred. Knowledge of federal and state privacy and security laws, including HIPAA and HITECH preferred. Knowledge of federal and state laws regulating health plans, including the Affordable Care Act and ERISA preferred.
