Corporate Counsel The candidate will draft, negotiate, review and revise purchase agreements, employment agreements, leases, promissory notes and other acquisition- and joint venture-related documents. Help to manage the legal aspects of the deal process for a robust acquisition pipeline, including coordinating with outside counsel, opposing counsel and the companys internal deal team to ensure that deal timelines are met and tasks are effectively completed. Provide general corporate legal support to the company and its stakeholders, including the Business Development, Operations, Finance and Legal Departments. The candidate should have a Bachelor's degree from an accredited undergraduate institution. Have a Juris Doctor degree from an accredited law school. Should have 2 - 5 years of corporate legal experience, ideally including experience in a corporate and transactional group of a large law firm. Membership in good standing with a United States State Bar. Demonstrated experience in conducting due diligence and negotiating and closing complex corporate transactions. Exceptional organizational skills and the ability to maintain highly detailed records. Willingness to spend considerable time drafting, reviewing and analyzing transaction documents. Ability to differentiate between theoretical and real-world considerations in a fast-paced dynamic legal department that requires a balance between critical thinking and efficient decision-making. Excellent communication skills necessary to coordinate amongst deal counterparties, internal teams and business units, professional service providers and outside counsel. Ability to prioritize and re-prioritize multiple projects and/or deadlines in a fast-paced work environment. Enthusiasm and energy to contribute to and thrive in an energetic and rapidly-evolving company with a collaborative atmosphere. Self-starter with an appetite for problem-solving and ability to own projects or tasks to see goals through to completion.
