Corporate Counsel The candidate will be responsible for: Review, draft and advise on a range of commercial agreements such as master services agreements, amendments to existing customer agreements, non-disclosure agreements, RFPs and vendor agreements. Create, review, manage and maintain the companys corporate contract templates. Manage and mitigate legal and regulatory risks, including insider trading and data privacy/cybersecurity risks. Collaborate with various internal groups to understand and ensure consistency within the companys risk management objectives. Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters. Coordination with the companys IT department in assessing and establishing company data processing practices and managing the companys compliance with data privacy regulations. Provide guidance on legal issues and risk mitigation strategies relating to corporate contracts. Provide timely, high-quality analysis, guidance and pragmatic advice on legal and business issues. Advise Human Resources on issues, including, non-competes, terminations and performance management. Stay apprised of emerging regulatory issues and legislative developments. Assist with aspects of the global compliance program. Conduct research and provide legal advice regarding specific legal and/or regulatory issues. Provide day-to-day legal advice with respect to company policies and procedures. Maintain legal files and set up processes and systems for contract administration and compliance. Review marketing and other externally-facing materials and disclosures.

The candidate must have JD degree from a US accredited law school. Should have admission to a US State Bar in good standing. Must have 2-4+ years of relevant professional experience in a law firm or corporate legal department with an emphasis on commercial contracts and corporate legal matters. Experience with financial services/investment research is a big plus. Must have excellent drafting and negotiating skills with commercial contracts. Should have strong business acumen with a focus on mitigating risk. Must have excellent communication skills and the ability to present effectively verbally and in writing.
