Corporate Counsel, Strategic Contracts Responsibilities: Drafting, reviewing, and negotiating a wide variety of business-critical contracts with strategic business partners (e.g., MSAs, MTAs, manufacturing agreements, payer agreements, consulting agreements, license agreements, and software licenses) and clinical-trial related documents (e.g., clinical CRO agreements, site and investigator agreements, ICFs, etc.). Leading the contracting function, with management responsibilities for hiring, training and developing the personnel who handle day-to-day contract intake and processing, interact with Finance around vendor set-up and on-boarding, and maintain the company's contract database and contract documentation. Ensuring the smooth, timely and efficient operation of the company's existing contracting process and contracts management system, and modifying and optimizing the contracting process and system as needed to comply with industry best practices and meet changing business needs. Taking a practical approach to contracting focused on the needs of the business and internal clients, while effectively identifying and managing legal issues and risks. Providing practical and actionable legal advice to internal clients and serving as a trusted strategic partner to the business. Identifying and analyzing legal risks and proposing appropriate actions to ensure operational compliance with relevant laws and regulations. Provide legal advice on, and support for, general business and corporate matters. Coordinating contracting and related legal matters handled by outside counsel and consultants.

Qualifications: J.D. from an accredited law school required. Admitted to practice in at least one state, preferably CA, and in good standing. At least 7 years relevant legal experience, with significant experience in-house at a life sciences or pharmaceutical company. Strong knowledge of contract and general business laws and regulations, with additional in-depth experience handling issues with commercial, clinical and supply agreements. Experience with GDPR and other privacy laws preferred. Proven record of drafting and negotiating complex agreements with strategic business partners. Experience managing a contracting team and optimizing contracts management systems required. Strong client-service attitude and strong interpersonal and collaborative skills with track record of serving as a trusted business partner and collaborator. Ability to explain complex legal issues and articulate clear and concise legal guidance. Excellent communication, negotiation, presentation, and interpersonal skills. Ability to thrive in a fast-paced office environment handling multiple tasks and demands. Ability to exercise appropriate judgment, discretion, and confidentiality. Combination of strong strategic and critical thinking skills with the ability to execute tactical plans and achieve results.
