Associate Corporate Counsel Duties: Primarily responsible for the reviewing and negotiating the operational contracts required by the business. Specifically, responsible for confidentiality agreements, consulting agreements, including agreements with healthcare professionals, commercial vendor agreements, agreements related to research and development, and other agreements as needed. Structure, draft and negotiate complex transactional agreements with public and private payers, group purchasing organizations, distributors, pharmacies, wholesalers, third party logistics providers, commercial sales organizations, marketing firms, and similar commercial vendors, counterparties and customers involved in the sales, marketing and delivery of specialty brand pharmaceutical products. Provide legal counsel to support for the company's compliance with industry specific regulations and is responsible for developing and implementing related policies and processes in coordination with the corporate compliance function. Monitoring and analyzing regulations and assisting the development of operational excellence within the company to comply with laws and regulations in the healthcare industry. Specifically, the role will be responsible for reviewing and interpreting the state and local laws that regulate the company's business in areas such as price transparency reporting, taxes and fees on sales of certain products, local take-back laws. The role will interface directly with management regarding the company's compliance with regulations, as well as risk management for other compliance initiatives. Support the legal and compliance teams in other miscellaneous projects. Participate in/sponsor operational improvement initiatives. Monitor and network with business units to integrate compliance and regulatory changes into processes. Support, develop and communicate Legal and Compliance goals, missions and standards. Scope and Size. Operational implementation of programs to comply with regulations. Quality of policy and process improvements . Operating network / stakeholder network.

Qualifications: JD degree from an ABA-accredited law school with strong academic credentials. Active member of at least one state Bar. BA/BS from accredited institution. 3-5 years of law firm and/or in-house corporate law experience (experience representing a brand pharmaceutical or biotech client or other highly regulated industry preferred). Knowledge and understanding of the pharmaceutical industry, particularly as it relates to commercial operations, preferred. Ability to think critically, be detailed oriented and analyze various options quickly to advise clients with solutions-oriented, entrepreneurial approach, including the ability to think of novel, unconventional or creative solutions and explore them with clients. Ability to handle numerous high-profile, highly demanding tasks and projects, manage client expectations, prioritize workflow and prioritize multiple projects at one time across a variety of topics without getting overwhelmed. A positive, collaborative, collegial attitude and a willingness to work with various business units. Ability to thrive in a multi-cultural, multi-site work environment is required. Excellent communication skills (both verbal and written) - ability to cogently and tersely explain complex concepts and make them seem simple. Ability and willingness to take personal responsibility and be accountable for business outcomes. Intuitive, energetic and self-motivated. Excels at being an individual contributor with a strong work ethic. Strong integrity; Sound judgment. Ability to maintain confidentiality of sensitive information; utmost discretion of confidential and sensitive matters. Technical Proficiency: proficient with Microsoft Office products and standard compliance management tools. Knowledge, understanding and ability to effectively address healthcare laws and regulations, including Affordable Care Act, Medicare regulations, Sunshine Act, Anti-bribery laws, Anti-kickback laws, FCPA, etc. in contracts and advise business colleagues regarding the same.
