Corporate Counsel The candidate will provide expert legal advice and support to the organization. Draft, review and own all legal documentation. Work closely with members across the organization to develop and improve legal processes and procedures that will help the business. Manage all contract management and focus on improvement initiatives. Manage and negotiate purchases from vendors and vendor agreements. Perform daily legal review of advertising and marketing materials and initiatives to ensure compliance with local, state and federal laws in a timely and efficient manner. Partner with Talent Management to evaluate, develop and implement employment practices, employment agreements, policies, and procedures in compliance with employment laws and regulations worldwide. Perform legal and/or factual research and investigations as needed. Maintain regulatory compliance and draft regulatory inquiry responses as needed. Provides litigation support by compiling documentation, drafting discovery and subpoena responses, drafting affidavits; performing various litigation planning activities such as deposition preparation or trial preparation. Maintain and communicate business risks/opportunities to key stakeholders. Evaluate the company s operational and strategic decisions and manage high-profile initiatives with regards to new business models, strategic partnership agreements, etc. Develop and implement new reporting trends and performance indicators that would support long term growth and strategic objectives. Responsible for M&A legal activity including working with the business leaders to identify potential opportunities, assessing and vetting business considerations, identifying synergies, participating in due diligence, developing and maintaining deal valuation models and developing presentations for approval to executive group and the Board. Partner with members of the Executive Team on various projects related to legal, risk management and compliance matters.

The candidate should have JD degree from accredited law school required; 5-7 or more years related experience and/or training; or equivalent combination of education and experience. Manager or Paralegal experience in a large law firm and in-house legal or procurement department highly desirable. Ability to read and interpret legal documents as well as draft when necessary. Ability to write reports and correspondence. Demonstrate exceptional organizational skills and organizational initiative in a corporate legal environment. Assess risk and propose appropriate solutions and recommendations to accomplish business objectives in a legally compliant manner. Knowledge of legal concepts pertaining to areas of responsibility. Demonstrate interpersonal skills that develop high levels of trust, confidence and business partnering with legal department, management and associates. Ability to make decisions, work under pressure and the capacity to use good judgment in critical situations. Should preferably have Ability to practice law in Massachusetts.
