Senior Corporate Counsel, Corporate & Securities Duties: Oversee international compliance and anti-corruption programs for Jazz including related to anti-corruption, anti-bribery, trade sanctions and export and import controls, and global competition law. Provide legal support and counsel for matters related to counterfeit and falsified product including related to global internal investigations and cooperation with law enforcement officials. Provide legal support and counsel to the Corporate Affairs function including global corporate communications, patient advocacy, corporate social innovation and ESG strategy, and government affairs. Engage with industry organizations on behalf of the Company, and work with cross-functional team to identify key policy and legislative issues and develop company positions. Under supervision of Head of the Strategic Transactions legal function, support Corporate Development in the negotiation and execution of strategic transactions, including licensing, collaborations, mergers, acquisitions, corporate financings, co-development, and co-promotions, as well as other transactions as part of Jazz's corporate objectives. Assist in structuring strategic transactions in the most beneficial way from a legal, tax, and finance and business perspective. Assists in the management of or manages the legal due diligence and other regulatory processes associated with transactions. Assists on the handling or handles post-closing matters. Assists in drafting, negotiating, and representing the interests of the company in strategic investment transactions, including corporate financing. Collaborates with internal legal team, Alliance Management and business teams involved in strategic transaction integration to help ensure a smooth roll out and adoption of legal processes and procedures by partners and acquired companies. Working closely with the Legal Operations and Strategy function to develop templates, playbooks and processes to support the efficient delivery of legal services in the subject areas of support. Oversee negotiation and drafting of agreements related to supported client groups.

Qualifications: JD Degree and active law license required (Pennsylvania or California preferred). 8+ years of combined experience in-house and with a law firm, with some of those years in-house at a biotech or pharmaceutical company. Strong corporate and securities law background. Significant knowledge of and experience advising clients on laws and regulations governing the pharmaceutical industry and public companies including applicable trade regulations, securities laws, and anti-bribery and corruption regulations. Experience in M&A, corporate transactions and deal integration. Ability to manage and work effectively with outside counsel. Excellent organizational skills with the ability to handle multiple projects simultaneously. Self-starter; able to work with minimal supervision. Strong writing, interpersonal and communication skills. Ability to collaborate and function well in a team environment and to motivate others. Outstanding attention to detail. Travel, including international travel, may be required.
